The structure decides

A licence is quick to buy and slow to change. Most of the regret we see traces back to a jurisdiction chosen on price, against an activity list that excluded half the invoices or a bank that would not open the account.

Three structures, one decision
Mainland, free zone and offshore are not tiers of the same thing. They answer different questions, and the right one falls out of where your customers are rather than out of a price list.
A mainland company is licensed by the Department of Economy and Tourism. It invoices anyone in the UAE without an intermediary, can take government work, and since the 2021 amendment to the Commercial Companies Law most activities allow full foreign ownership. It carries more administration and, usually, a real tenancy.
A free zone company sits under its own authority with a single counter for licence, visas and registration. It suits a business selling abroad or to other free zone entities. Selling into the UAE mainland from a free zone is where the limits bite, and the workaround — a distributor or a branch — costs more than people expect.
An offshore company holds assets. It has no visa quota and no physical presence, and it is not a trading vehicle. Used for what it is good at, it is efficient. Sold as a way to invoice clients, it creates problems.
How to choose, in the right order
Work backwards from the business, not forwards from the licence price.
- Where are the customers? Mostly UAE businesses and consumers points to mainland. Mostly abroad points to a free zone. A mix is the case that needs actual advice.
- How many people will you sponsor, over three years? Visa quotas are attached to the licence package and to your office space. Outgrowing the quota means changing package or premises, which is the most common reason a cheap licence turns expensive.
- What exactly will you invoice for? Activity lists are literal. If half your revenue falls outside the activities on the licence, the licence is wrong regardless of what it cost.
- Which bank will take you? This belongs at step four, not step ten. Some free zones are straightforward to bank from and some are not, and your nationality, your sector and your customers matter as much as the zone.
- Then compare prices. Only among the options that survived the first four questions.
The bank decides more than the licence does
The licence takes one to three weeks in a free zone. The bank account takes two to six, sometimes longer, and it is the step that fails.
Banks are running their own compliance, and they are not obliged to explain a refusal. What consistently helps: a clear and plausible business description, named customers or signed contracts, a website and email on your own domain, evidence of where the initial capital comes from, and an activity that the bank's own policy does not treat as high risk. What consistently hurts: a company with no substance in a zone the bank has stopped onboarding from, a founder who cannot explain the revenue in one paragraph, and an application to the wrong bank.
We prepare the file and introduce it to the bank that fits the profile. Nobody can promise an account, and any adviser who does is telling you something they cannot control.
What it costs, honestly
A single number for company formation in Dubai is meaningless, because government fees dominate the total and vary enormously between authorities. What you can pin down is the shape of the bill.
- Licence and registration — the authority's own fee, the largest single line, and the one that varies most between free zones.
- Establishment card and visa quota — charged per company, then per visa.
- Premises — a flexi-desk at the low end, a real tenancy with its registration at the other. Mainland almost always means the latter.
- Residence visas — entry permit, medical, Emirates ID and stamping, per person, plus the same again for each family member.
- The year after — bookkeeping, the tax registrations and returns covered in the tax guide, and the renewals. This is the line people forget when comparing quotes.
Compare quotes on the three-year total including renewals and visas, not on the first-year licence. The cheapest year one is frequently the most expensive year three.
The sequence, and what needs you in Dubai
Most of a formation file is prepared remotely. Knowing which steps genuinely need you present is what lets people plan a single trip instead of three.
Name reservation, activity selection, the licence application and the memorandum where one is required are all handled without you. The establishment card and the lease follow. Your entry permit is issued, and at that point you need to be in the UAE: the medical test and the Emirates ID biometrics are done in person and cannot be delegated. Most banks also want to meet a signatory at least once, though some will do it by video.
Plan one trip of about a week, timed after the licence is issued and the entry permit is through. Arriving earlier means waiting in Dubai for paperwork that could have been done before you flew.
